The decree transferring the assets took effect on the day it was published. Under it, "UK Torg Rus" received 100% of the shares in METRO Cash & Carry LLC, the entity through which the chain's Russian stores operate, as well as 100% of Metro Warehouse Noginsk LLC and 100% of Retail Property 5 LLC, according to The Bell.

Those shares are currently held by Dutch and German entities of the group — METRO Cash & Carry Russia B.V., Metro Cash & Carry International Holding B.V., METRO Retail Real Estate GmbH and METRO PROPERTIES Holding GmbH, the outlet reported.

UK Torg Rus was registered on September 8, 2026, according to Unified State Register of Legal Entities (EGRUL) data and the Spark database. Its sole owner and general director is Johannes Tolar, who has headed METRO Cash & Carry since 2023. The company's charter capital is 10,000 rubles.

Citing Rusprofile data, Ekho reported that METRO Cash & Carry itself has a charter capital of 22 billion rubles and revenue of 260 billion rubles in 2025. The Metro Cash & Carry network in Russia comprises 91 stores and employs more than 10,000 people. In the past financial year, the group's sales in the Russian market rose 6.7%, to €2.6 billion.

Tolar has long worked in Russian retail. According to Agentstvo, before Metro he had served as deputy general director of the company since at least 2022, and in 2019 he headed Auchan's Russian operation. Novaya Gazeta Europe, citing EGRUL data, reports that he also previously ran the Globus hypermarket chain in Russia and was an adviser to the head of X5 Retail Group.

Metro continued operating in Russia after the start of the full-scale invasion of Ukraine. In a 2025 interview with Russian Forbes, Tolar said that after 2022 "nothing has changed" for the company in Russia — "we are part of the German group Metro AG" — and that the Germans' desire to get rid of the Russian business was "zero." He also spoke at the time of pressure on Metro's German management demanding it leave Russia.

Novaya Gazeta Europe notes that a presidential order previously placed the Auchan chain and other companies under temporary management, with L.E.V. Management as the managing entity; the publication says its director is a former police major general. According to RBC, since April 2023 the Russian authorities have placed 27 foreign companies and groups under temporary management. Rosimushchestvo top manager Ilya Berdnikov became Auchan's general director.
